Terms and Conditions- Training Access
Effective Date: 2 February, 2026
Provider: Ten Count Consulting LLC (“TCC,” “Company,” “we,” “us,” or “our”)
Training Platform: dscsa.learningcart.com (the “Platform”)
By registering for, accessing, or using any training course, module, webinar, recording, or related materials (collectively, the “Training”) delivered through dscsa.learningcart.com, you agree to be legally bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not access or use the Training.
- Nature of the Training
The Training consists of proprietary instructional content developed and owned by Ten Count Consulting LLC and delivered through the Platform.
The Training is provided for educational and informational purposes only. The Training does not constitute legal advice, regulatory advice, compliance certification, professional consulting services, or a formal client engagement. Accessing or participating in the Training does not create a client, advisory, fiduciary, or consulting relationship between you and TCC.
- Platform Access
Access to the Training is provided through individual user accounts on dscsa.learningcart.com. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
You agree not to share your login credentials, provide access to unauthorized users, or attempt to circumvent any access controls, user limitations, or security measures implemented on the Platform.
TCC reserves the right to suspend, restrict, or terminate access to the Platform at its sole discretion for violations of these Terms or suspected misuse.
- Proprietary Ownership
All Training materials available on the Platform are the exclusive intellectual property of Ten Count Consulting LLC, including but not limited to:
- Course modules
- Videos and recordings
- Written materials
- Case examples
- Assessments and quizzes
- Graphics, slides, and documents
- Instructional methodologies and frameworks
- Platform organization and course structure
These materials are protected by copyright, trademark, trade secret, and other applicable intellectual property laws. No ownership rights are transferred to you by virtue of accessing the Training.
- Limited License and Permitted Use
TCC grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Training solely for:
- Your individual professional development; or
- Internal educational purposes within your organization (if organizational access has been authorized).
You may not:
- Copy, reproduce, download (except where expressly permitted), record, or redistribute Training content;
- Modify, publish, transmit, display, or create derivative works;
- Share content outside your organization;
- Use the materials to train external parties without written authorization;
- Develop competing training programs based on the content;
- Upload content to third-party platforms;
- Use automated tools, scraping technologies, or artificial intelligence systems to extract, replicate, or analyze content for commercial purposes.
Any unauthorized use automatically terminates your license and access rights.
- Fees, Payment, and Access Duration
Certain Training offerings may require payment. Fees, access duration, and enrollment terms will be specified at the time of registration.
Unless otherwise stated in writing:
- Access is granted only for the period specified at purchase or registration.
- Access may not be transferred to another individual.
- TCC reserves the right to modify course availability, structure, or pricing at any time.
- No Certification or Compliance Guarantee
Completion of any Training does not constitute certification and does not guarantee compliance with the Drug Supply Chain Security Act (DSCSA) or any other law or regulation.
Participation does not satisfy statutory or regulatory requirements and does not replace independent legal or compliance review. Each organization and individual remains solely responsible for its own regulatory compliance obligations.
- Educational Use Only; No Legal Advice
All content is provided for general educational purposes only. Nothing within the Training constitutes legal interpretation, legal advice, or professional advisory services.
You should consult qualified legal or regulatory professionals before making business decisions or compliance determinations based on Training content.
- Confidentiality and Competitive Use Restrictions
The Training may include proprietary instructional structures, strategic insights, business processes, and confidential frameworks.
You agree:
- Not to disclose proprietary materials outside your organization;
- Not to use the Training to develop competing products or services;
- Not to resell, sublicense, or commercially exploit the content;
- Not to reverse engineer course structure or methodology.
Unauthorized use may result in legal action, including claims for damages and injunctive relief.
- Disclaimer of Warranties
The Training and Platform are provided “as is” and “as available,” without warranties of any kind, whether express or implied.
TCC makes no representations or warranties regarding the accuracy, completeness, reliability, or fitness for a particular purpose of the Training. TCC does not guarantee uninterrupted, secure, or error-free access to the Platform.
- Limitation of Liability
To the fullest extent permitted by law, TCC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to business losses, lost profits, lost data, operational disruptions, or compliance penalties arising from the use of or reliance on the Training.
Your sole remedy for dissatisfaction with the Training is to discontinue its use.
- Indemnification
You agree to indemnify, defend, and hold harmless TCC and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, or expenses arising out of:
- Your misuse of the Training or Platform;
- Your violation of these Terms;
- Your unauthorized distribution or disclosure of Training materials.
- Modifications
TCC reserves the right to update or modify these Terms at any time. Updated Terms will be posted on the Platform. Continued use of the Training after modifications constitutes acceptance of the revised Terms.
